Terms of Use

DocSmith Studio

Operated by Media Crafters Productions LLC

IMPORTANT NOTICE These Terms contain an individual arbitration agreement and class action waiver in Section 24. Please read that section carefully.

These Terms of Use explain the rules that apply when you visit docsmithstudio.com or a company-operated subdomain, create or use a DocSmith Studio account, use a hosted DocSmith Studio service, purchase a VideoCraft service, or download, install, or use a DocSmith Studio product. They also explain the different rules that apply to hosted subscriptions and one time purchases. By accepting these Terms, you enter into a binding agreement with Media Crafters Productions, LLC.

1 Agreement to Terms

These Terms of Use, together with the Privacy Policy and any product, license, subscription, refund, or order terms displayed to you at checkout, constitute the agreement between you and Media Crafters Productions, LLC, the operator of DocSmith Studio, concerning the Services.

You accept these Terms when you click or check an acceptance control, create an account, purchase or download a product, access a hosted service, or otherwise use the Services after being given notice of these Terms. If you do not agree, do not purchase, download, access, or use the Services.

A product page, order form, or checkout may contain additional terms specific to a particular product or license. Those specific terms control if they directly conflict with these Terms.

2 Description of the Services

The Services include docsmithstudio.com, company-operated subdomains, VideoCraft storefronts, and the DocSmith Studio products, tools, custom services, and supporting materials that we make available. Depending on the product selected, the Services may include:

Features, compatible providers, technical requirements, and availability may differ by product and may change as described in these Terms.

3 Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a contract. If you use the Services for a business or other organization, you represent that you have authority to bind that organization, and references to you include that organization.

You must provide accurate account and purchase information and keep it current. You are responsible for protecting your credentials and for activity conducted through your account. You must promptly notify us at [email protected] if you suspect unauthorized access. Account credentials may be used only by the person or authorized users covered by the applicable license and may not be sold, transferred, or publicly shared.

4 Hosted Service License

During an active hosted subscription or other authorized access period, we grant you a limited, revocable, nonexclusive, nontransferable license to access and use the hosted Services for your personal or internal business purposes. The number of permitted users, workspaces, or accounts is determined by the plan identified at checkout.

The hosted license ends when the applicable access period expires or the account is terminated. Ending hosted access does not transfer ownership of the software, source code, templates, or other proprietary components to you.

5 Downloadable and Self Hosted Product License

When you purchase a downloadable or self hosted product, we grant you a limited, nonexclusive, nontransferable license to use the purchased version for your personal or internal business purposes. The license level, permitted users, installation limits, and permitted domains are those stated on the applicable product page or order form.

Unless the applicable order expressly states otherwise, a purchase authorizes use by one purchaser on one device or one website or domain, as applicable. You may make a reasonable backup copy for disaster recovery. You may not resell, redistribute, sublicense, publish, share, or make the product files, account credentials, proprietary templates, or source materials available to another person.

You may use documents and other end products that you lawfully create with the product for personal or commercial purposes, subject to your responsibility for the underlying content, third party rights, and applicable law.

6 Ownership and Intellectual Property

The Services, including their software, functionality, interface, design, documentation, proprietary templates, instructional materials, graphics, logos, trademarks, and other content supplied by us, are owned by or licensed to Media Crafters Productions, LLC and are protected by intellectual property and unfair competition laws.

Except for the limited licenses expressly granted in these Terms, no ownership or intellectual property rights are transferred to you. DocSmith Studio and related names, logos, and branding may not be used without our prior written permission.

7 Your Content and Documents

As between you and Media Crafters Productions, LLC, you retain your rights in the documents, instructions, prompts, project briefs, brand information, text, images, logos, audio, video, voice recordings, likenesses, files, and other material you enter, upload, or provide through the Services, collectively called User Content. We do not claim ownership of your completed customer documents merely because you created or processed them using the Services.

You grant us a limited, nonexclusive license to receive, process, reproduce, and transmit User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the Services or as you otherwise direct. This license ends when the purpose for which the content was provided has been completed, except for temporary backups, legally required retention, and records reasonably necessary to establish compliance or resolve disputes.

You represent that you have the rights and permissions necessary to provide and use your User Content. You are responsible for your User Content, the instructions you give the Services, and the documents or other output you publish, distribute, or rely upon.

8 Artificial Intelligence and Third Party Providers

Certain DocSmith Studio features may work with third party artificial intelligence providers selected by you. Some products may require you to obtain your own provider account and API credentials. You are responsible for selecting the provider, complying with its terms, maintaining sufficient account credit, and paying all charges assessed by that provider.

When a product permits you to supply an API key, the product is designed to store that key locally in your browser rather than in our website database, unless a feature clearly states otherwise. When you use an AI feature, your browser may transmit the applicable credential, prompt, User Content, and related information directly to the selected provider. The provider processes that information under its own terms and privacy policy. You should not store persistent API credentials on a shared or public device.

Compatible providers, models, pricing, usage limits, and technical interfaces are controlled by third parties and may change or become unavailable without notice. We are not responsible for a third party provider's service, charges, output, security, retention practices, or changes.

AI generated or AI assisted output may be inaccurate, incomplete, outdated, biased, nonunique, or similar to material generated for others. You must review and verify all output before using, publishing, distributing, or relying on it. We do not guarantee that output is copyrightable, noninfringing, accurate, or suitable for a particular purpose.

For VideoCraft orders, we may select and use third-party artificial intelligence, image, audio, video, editing, storage, and delivery providers as part of production. Relevant project instructions and selected User Content may be provided to those providers as reasonably necessary to create and deliver the ordered work. Their technologies and practices may change, and their terms and privacy policies may also apply.

9 Acceptable Use

You may not use the Services to:

We may investigate suspected misuse and may suspend or terminate access when reasonably necessary to protect users, the Services, third parties, or our legal rights.

10 Purchases and Payment

Prices, billing frequency, license scope, included features, and any minimum purchase obligation are displayed on the applicable product page or during checkout. You authorize us and the payment processor identified at checkout to charge the payment method you provide for the amounts disclosed, including applicable taxes. The payment processor's terms and privacy practices also apply to its processing activities.

You must provide current, complete, and accurate billing information. We may correct an obvious pricing or description error before fulfillment. If we cancel an order because of such an error after payment has been collected, we will refund the amount collected for the canceled order.

VideoCraft purchases are processed directly by Stripe or another payment processor identified on the VideoCraft checkout page. Payhip does not process or fulfill VideoCraft orders. Stripe and any other processor handle payment credentials under their own terms and privacy policies, while we receive the order and payment-status information needed to fulfill and administer the purchase.

11 Digital Delivery and Technical Requirements

Digital products may be delivered through a download page, email, hosted account, membership area, or another method described at checkout. Delivery is complete when the download or access instructions are made available to the email address or account you provided. Some hosted accounts or self hosted editions may require manual activation or setup; any stated delivery estimate applies.

You are responsible for maintaining compatible devices, browsers, hosting, internet access, software, backups, and security. You should download and securely back up purchased files promptly. Unless expressly promised in the offer, we do not guarantee compatibility with every device, hosting configuration, browser, operating system, plugin, or future technology change.

11A VideoCraft Custom Video Services

VideoCraft is a done-for-you service through which we create a finished video based on the package, specifications, options, project brief, and materials associated with your order. The applicable storefront, order form, and checkout identify the purchased deliverable, price, included features, anticipated delivery schedule, and any included revisions. Those order-specific terms form part of these Terms.

You are responsible for providing complete and accurate instructions, brand information, required materials, and timely responses. Delays, changes, incomplete instructions, or missing materials may affect the delivery schedule and may require a revised estimate or additional charge disclosed to you before the additional work begins.

You retain ownership of your User Content. You grant us and our contractors and service providers a limited, nonexclusive, worldwide license to host, reproduce, edit, adapt, transmit, and otherwise process your User Content solely as reasonably necessary to produce, revise, deliver, secure, and support your VideoCraft order and to maintain legally required business records. We will not publicly use a customer-specific finished video or identify you as a customer in a portfolio or advertisement without your permission.

You represent that you have authority to use every person, voice, likeness, logo, trademark, recording, script, image, and other item you provide. When material depicts or identifies another person, including a minor, you are responsible for obtaining any consent, release, parental authorization, or other permission required for the requested production and use.

Production may involve generative artificial intelligence and automated editing. We may also use human review, editing, or quality-control steps, but the extent of those steps may differ by package. Delivery dates are good-faith estimates unless the order expressly states that a particular date is guaranteed. The number and scope of included revisions are limited to what the applicable offer states; new concepts, material changes, or additional revisions may require a separate fee.

After we receive full payment, and subject to third-party restrictions and these Terms, we grant you a perpetual, worldwide, royalty-free license to use, reproduce, display, distribute, publicly perform, and modify the final delivered video for your own business, marketing, advertising, social-media, website, and internal communication purposes. This license does not permit you to resell the delivered video as a stock asset, template, or standalone production resource unless the order expressly allows it.

Media Crafters retains ownership of its preexisting software, production methods, prompts, workflows, templates, branding, know-how, and reusable elements. Third-party assets remain subject to their applicable licenses. Because AI-assisted material may be similar to material produced for others and some material may not qualify for copyright protection, we do not guarantee exclusivity, copyrightability, registration, or freedom from all third-party claims. We do not claim ownership of your trademarks or customer-provided materials.

You must review the delivered video before publishing it and are responsible for confirming factual accuracy, spelling, pricing, offers, legal disclosures, claims, permissions, platform requirements, and suitability for your intended audience and use. We are not responsible for changes made after delivery or for a platform's decision to reject, remove, restrict, demonetize, or alter the distribution of a video.

12 Subscriptions Automatic Renewal and Cancellation

This Section applies only when the checkout clearly identifies a product as an automatically renewing subscription or continuous service. A one time purchase does not automatically become a subscription.

Renewal terms Before you subscribe, we will disclose that the subscription renews automatically unless canceled, the length of the initial and renewal terms, the amount and frequency of recurring charges, the cancellation policy, and any minimum commitment. We will obtain your affirmative consent to the automatic renewal terms and provide an acknowledgment you can retain.

Charges Unless canceled before the renewal date, an annual hosted subscription renews for another annual term and the disclosed renewal charge is billed to your payment method. We will not increase a recurring fee without the notice required by applicable law.

Cancellation You may cancel an online subscription entirely online through any cancellation control provided in your account or by emailing [email protected] with the subject line Cancel Subscription. We will not require a telephone call to complete an online cancellation. Unless applicable law or the offer states otherwise, cancellation stops future renewal charges and takes effect at the end of the then current paid term.

Renewal and change notices For annual automatically renewing subscriptions, we will provide an annual reminder identifying the service, the frequency and amount of charges, and how to cancel. Where required, we will provide a renewal notice at least 15 days and not more than 45 days before renewal. We will provide notice of a recurring fee change, together with cancellation information, no less than 7 days and no more than 30 days before the new fee takes effect.

Consent records We may retain records of your subscription disclosures, affirmative consent, acknowledgment, notices, billing, and cancellation for the period required by applicable law.

13 Refunds

Refund eligibility, if any, is governed by the refund policy or money back guarantee displayed on the applicable product page or during checkout at the time of purchase. If an offer does not state that a refund or guarantee is available, the purchase is nonrefundable after digital delivery, account activation, or commencement of custom VideoCraft production, except where applicable law requires otherwise. VideoCraft cancellation, revision, and refund eligibility is governed by the terms displayed with the applicable service package or checkout; amounts attributable to work already performed or third-party costs already incurred may be nonrefundable when the disclosed terms and applicable law allow.

Canceling a subscription prevents future renewal charges but does not by itself create a right to a refund for a current or prior term. Nothing in these Terms limits any nonwaivable cancellation, refund, chargeback, or consumer protection right provided by applicable law.

14 Free Products Trials and Promotional Offers

A free or limited feature product may have usage, support, feature, provider, or availability limitations and may be changed or discontinued. If a free trial or promotional period will convert into a paid subscription, the price, conversion date, renewal terms, and cancellation method will be disclosed before you consent and before billing information is confirmed.

When an offer uses the term lifetime access for a downloadable product, it means a continuing license to use the version delivered to the purchaser. Unless the offer expressly says otherwise, it does not promise lifetime hosting, perpetual access to our servers or download pages, compatibility with future technology, future feature updates, or unlimited support.

Promotional prices, comparison prices, deadlines, bonuses, and availability are subject to the terms displayed with the offer. We may limit promotions to the stated period, inventory, customer group, or number of licenses.

15 No Guaranteed Results and No Professional Advice

DocSmith Studio provides document creation, formatting, template, and prompt-related tools as well as AI-assisted VideoCraft production services. We do not guarantee revenue, profits, leads, conversion rates, customer acquisition, search rankings, audience engagement, platform approval or distribution, time savings, regulatory compliance, or any other business or personal result. Examples, demonstrations, case studies, and customer experiences are illustrative and do not promise that you will obtain the same result.

The Services and their output do not constitute legal, tax, accounting, financial, medical, employment, compliance, or other professional advice. Templates and AI output may not reflect the law or requirements applicable to your location, industry, facts, or intended use. You are responsible for obtaining qualified professional review when appropriate, particularly before relying on a document that affects legal rights or obligations.

16 Email Communications

We may send transactional or relationship emails concerning purchases, product delivery, account security, subscription administration, support, and material service or policy changes. These communications are part of administering the Services and may continue even if you opt out of marketing emails.

You may unsubscribe from commercial marketing emails by using the unsubscribe mechanism in the message or by contacting [email protected]. We will process valid marketing opt out requests within the time required by applicable law. You may still receive nonmarketing communications reasonably necessary to administer an existing account, purchase, or legal obligation.

17 Privacy and Security

Our Privacy Policy explains how we collect, use, disclose, and retain personal information and is incorporated into these Terms. Product features may store documents, preferences, or credentials locally on your device, while account information and other operational records may be stored on systems used to provide the hosted Services.

Local storage does not mean that information submitted to a third party AI provider remains on your device. You are responsible for deciding what information to submit and should not enter Social Security numbers, financial account credentials, medical records, confidential client information, trade secrets, or other highly sensitive or regulated information unless the applicable product and provider are expressly approved for that use.

No electronic service or storage method is completely secure. We use reasonable safeguards appropriate to the Services, but we cannot guarantee that unauthorized access, loss, or disclosure will never occur.

18 Third Party Websites and Services

The Services may link to or interoperate with payment processors, AI providers, hosting companies, file-storage and delivery services, analytics services, or other third parties. We do not control and are not responsible for third party products, availability, terms, content, privacy practices, or security. A link or integration does not constitute an endorsement unless we expressly say so.

19 Service Changes Suspension and Termination

We may maintain, update, modify, suspend, or discontinue features when reasonably necessary for security, legal compliance, third party changes, product improvement, or business operations. We will provide reasonable notice when a material change adversely affects a paid hosted subscription, unless immediate action is required for security, legal, or operational reasons.

We may suspend or terminate access if you materially breach these Terms, fail to pay amounts due, create a security or legal risk, or misuse the Services. When reasonably practicable, we will give notice and an opportunity to cure. Provisions that by their nature should survive termination, including ownership, payment obligations, disclaimers, liability limitations, indemnification, and dispute provisions, will survive.

20 Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, DOWNLOADS, TEMPLATES, DOCUMENTATION, CUSTOM VIDEO DELIVERABLES, AND OUTPUT ARE PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM EXPRESS AND IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINTERFERENCE, AND NONINFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error free, secure, compatible with every system, or free from harmful components, or that defects will always be corrected. We do not warrant the accuracy, legality, uniqueness, completeness, or suitability of AI generated or user generated output.

These disclaimers do not exclude warranties, remedies, or consumer rights that cannot lawfully be excluded. An express written promise made in a product offer is governed by its stated terms and is not eliminated by a general disclaimer.

21 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER MEDIA CRAFTERS PRODUCTIONS, LLC NOR ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR COSTS OF SUBSTITUTE SERVICES ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS OR THE AMOUNT YOU PAID TO US FOR THE APPLICABLE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot lawfully be limited, including liability to the extent caused by fraud, willful misconduct, or gross negligence where applicable law prohibits limitation. Some jurisdictions do not allow certain exclusions or limitations, so portions of this Section may not apply to you.

22 Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Media Crafters Productions, LLC and its owners, officers, employees, contractors, and agents from third party claims, damages, judgments, liabilities, costs, and reasonable attorneys' fees arising from your User Content, your unlawful or unauthorized use of the Services, your material breach of these Terms, or your infringement or violation of another person's rights. This obligation does not apply to the extent a claim results from our own breach, gross negligence, or willful misconduct.

We may control the defense and settlement of an indemnified claim, but we will not settle a claim in a manner that admits your fault or imposes a nonmonetary obligation on you without your consent, which will not be unreasonably withheld.

If you believe material available through the Services infringes your copyright, send a written notice to the contact below that identifies the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of your good faith belief that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act for the copyright owner, and your physical or electronic signature.

Copyright notices should be sent to Media Crafters Productions, LLC, Attn Copyright Notice, 8780 19th St., Suite 354, Rancho Cucamonga, CA 91701, or [email protected]. We may remove or restrict access to material while reviewing a complaint.

24 Dispute Resolution

Informal resolution Before filing a claim, you and Media Crafters Productions, LLC agree to send written notice describing the dispute and requested relief and to attempt in good faith to resolve it for 30 days. Send notices to the contact information in Section 29. This requirement does not prevent either party from seeking temporary relief when necessary to prevent immediate harm.

Individual arbitration Except for claims eligible for small claims court, intellectual property claims seeking injunctive relief, and rights that applicable law makes nonarbitrable, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules when those rules apply. Arbitration may be conducted by video, telephone, documents, or in person as permitted by the applicable rules. Consumer filing fees will be allocated as required by those rules and applicable law.

Class action waiver To the fullest extent permitted by law, claims must be brought only in an individual capacity and not as a plaintiff, claimant, or class member in a class, collective, consolidated, coordinated, mass, or representative proceeding. The arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant's individual claim.

Nonwaivable relief Nothing in this Section prevents a consumer from seeking public injunctive relief or exercising another right that cannot lawfully be waived. If a court determines that a particular request for public injunctive relief cannot be arbitrated, that request will be decided by the court after any arbitrable claims are resolved.

Arbitration opt out You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms. Use the subject line Arbitration Opt Out and include your name, account email, mailing address, and a clear statement that you reject arbitration. Opting out of arbitration does not affect the remainder of these Terms.

Severability If part of this Section is unenforceable, it will be severed to the minimum extent necessary and the remainder will continue, except that if the class action waiver is held unenforceable as to a particular claim, that claim will proceed in court rather than class arbitration.

25 Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 24. For a dispute that is not subject to arbitration or small claims court, the parties consent to the exclusive jurisdiction of the state and federal courts located in San Bernardino County, California, unless applicable consumer law requires another location.

26 California Consumer Notice

California consumers may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at 800-952-5210.

27 Changes to These Terms

We may update these Terms from time to time. The revised Terms will state a new Last Updated date. We will provide reasonable advance notice of a material change when required by law or when the change materially reduces rights associated with a paid hosted subscription.

A material change will not retroactively alter the license or refund terms applicable to a completed one time purchase unless you affirmatively agree or the change is required by law. For an automatically renewing subscription, a material change will apply as disclosed in the notice and, when required, only after the consent or renewal process required by applicable law. Continued use after the effective date of other properly disclosed changes constitutes acceptance of the revised Terms.

28 General Terms

These Terms and the incorporated policies and product specific terms constitute the entire agreement concerning the Services. If a provision is unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.

You may not assign these Terms or transfer a license without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or transfer of the DocSmith Studio business, subject to applicable law. We are not responsible for delay or failure caused by events beyond our reasonable control.

Section headings are for convenience only. The words including and includes mean including without limitation. Electronic notices and records satisfy written notice requirements to the extent permitted by law.
